Allgemeine Geschäftsbedingungen (AGB)

These Terms govern the use of Mailbot provided by abaca.ai GmbH for business customers. By ordering or using the service you agree to these Terms.

1) Scope & Order of precedence

These Terms apply to all offers, orders and the use of Mailbot by business customers (B2B). Order of precedence: (i) written offer/order, (ii) these Terms, (iii) Privacy Policy.

Definitions

  • Request: a processed email task.
  • Templates: customer Word/Excel/PowerPoint or text templates adapted for Mailbot.
  • Packs: optional add‑on feature bundles.
  • Add‑ons: consumption‑based items (e.g., extra requests, users).

Business use only

Mailbot is intended for professional use by companies and organisations.

2) Service description

Mailbot is an email‑native AI assistant that processes requests and returns outputs via email (e.g., documents, drafts, summaries) using the Customer’s templates and knowledge. The exact scope depends on the selected plan (Core) and any add‑on packs. Setup includes onboarding, knowledge capture and template adaptation as quoted.

Model routing & privacy

As default, tasks are routed to Swiss‑hosted models; use of external models requires Customer opt‑in. No retention by default as described in the Privacy Policy.

Support

Standard email support during business hours; no 24/7 SLA unless agreed in writing.

3) Customer duties

  • Provide accurate inputs/templates and ensure lawful use.
  • Review AI outputs before external use; Customer remains responsible for approvals.
  • No submission of special categories of personal data unless expressly agreed.

4) Intellectual property & usage rights

Customer retains rights to its data and templates and grants abaca.ai a limited license to use them for providing the service. abaca.ai retains all rights in Mailbot, prompts, models and underlying IP. Outputs created for the Customer are licensed for the Customer’s business purposes.

5) Fees, overages & payment

Fees are in CHF, excl. VAT, as per the current price list. Billed monthly in advance; payable within 10 days unless stated otherwise. Overages and add‑ons are charged according to the price list. Changes to prices or scope will be announced with reasonable notice (e.g., 30 days).

6) Term, renewal & termination

Monthly term with automatic renewal. Either party may terminate at the end of the current period. Upon termination, use ends and data is deleted according to the Privacy Policy.

7) Availability, maintenance & changes

Mailbot operates on a best‑effort basis with reasonable maintenance windows. The service is continuously improved; non‑breaking changes may be deployed at any time. Material changes to scope or pricing will be communicated in advance.

8) Warranty & liability

  • AI outputs may contain errors and do not constitute legal, tax or other professional advice.
  • Customer remains responsible for review and approval of outputs.
  • Where permitted by law, abaca.ai’s liability is limited to direct damages up to the fees paid in the last 12 months. Liability for indirect or consequential damages (incl. lost profit) is excluded.

9) Confidentiality

Both parties keep confidential information strictly confidential and use it only for performing this contract.

10) Force majeure

Obligations are suspended during events beyond a party’s reasonable control.

11) Governing law & venue

Substantive Swiss law applies, excluding conflict‑of‑laws rules and the UN Sales Convention (CISG). Venue: Zurich (or Thalwil) Switzerland.

12) Changes & notices

abaca.ai may update these Terms to reflect legal, technical or business changes. We will notify Customers of material changes in advance. Legal notices may be sent by email.
